1. Acceptance of Terms
Section 1By accessing or using Code Flare, including its web application, desktop application, and related services (the “Services”), you agree to these Terms of Service (“Terms”). If you use the Services on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf.
If you do not agree to these Terms, do not access or use the Services.
2. Service & Workspaces
Section 2Code Flare provides project planning and AI-assisted engineering tools, including features for organizing specifications, milestones, features, and tasks; researching project context; and coordinating task execution, validation, and review.
Deployment & AI provider choices
Depending on your deployment, project data is stored in the service database and workspace you use. You may configure supported hosted AI providers or local model services. Information sent to a third-party provider is subject to that provider’s terms and privacy practices.
3. Accounts & Membership
Section 3You agree to provide accurate account information and keep it up to date. You are responsible for protecting your password, API keys, and other credentials, and for activity carried out through your account. Notify the service operator promptly if you believe your account or credentials have been compromised.
If you use Code Flare through an organization, that organization may manage your access to its workspace and related resources.
4. License & Intellectual Property
Section 4Subject to these Terms, you may use the Code Flare software and Services for their intended purpose. All rights in Code Flare’s software, brand, and materials remain with their respective owners. These Terms do not transfer ownership of the Services to you.
Your content and outputs
As between you and Code Flare, you retain your rights in the code, prompts, project materials, and other content you provide. You are responsible for ensuring you have the rights needed to submit that content and use any outputs. AI-generated outputs may not be unique and should be reviewed before use.
5. Subscriptions & Billing
Section 5Some features require a paid subscription. The plan, price, billing interval, and available payment methods will be presented during purchase. Subscription and billing details can be reviewed in your account.
You may manage or cancel an active subscription using the subscription settings available to your account. Any applicable renewal, cancellation, and refund terms are those presented at purchase and required by law.

7. Disclaimers & Limitation of Liability
Section 7The Services may include AI-generated suggestions or outputs. You are responsible for reviewing them and deciding whether they are appropriate for your use, including before deploying or relying on generated code.
To the extent permitted by applicable law, the Services are provided on an “as available” basis. Nothing in these Terms excludes or limits rights or liability that cannot be excluded or limited under applicable law.
8. Termination & Data
Section 8You may stop using the Services at any time. Access may be suspended or terminated if you materially violate these Terms or if continued access is necessary to protect the Services, users, or others, subject to applicable law.
Keep a copy of your project data
Data storage and retention depend on your deployment and the service operator’s configuration. Before ending your use of the Services or a hosted workspace, export or otherwise retain any project data you need, where export tools are available.
